TENLEY TERMS OF USE

Effective Date: August 5, 2026
Last Updated: August 5, 2026

These Terms of Use (“Terms”) govern access to and use of the Tenley mobile application, website, tenant portal, administrative portal, communications features, and related services collectively referred to as the “Services.”

The Services are operated by Tenley LLC, doing business as Tenley (“Tenley,” “we,” “us,” or “our”).

By creating an account, accessing, or using the Services, you agree to these Terms. If you do not agree, do not access or use the Services.

If you use the Services on behalf of a company, property owner, property-management company, employer, or other organization, you represent that you have authority to act on its behalf.

1. The Services

Tenley provides technology intended to assist property-management organizations, property owners, employees, residents, tenants, vendors, and authorized users with functions that may include:

  • Property and account administration
  • Maintenance requests
  • Incident reporting
  • Emergency-related communication and routing
  • Text, telephone, and in-app communication
  • Team communication
  • Photographic inspections
  • Document and image management

  • Automated classification, transcription, and summarization
  • Notifications and workflow management

Available features may vary by customer, property, subscription, device, location, or user role.

Tenley may add, modify, suspend, or discontinue features at any time, subject to any separate written agreement between Tenley and a customer organization.

2. Emergency Disclaimer

TENLEY IS NOT A 911 SERVICE, EMERGENCY DISPATCH SERVICE, SECURITY SERVICE, MEDICAL PROVIDER, FIRE DEPARTMENT, LAW-ENFORCEMENT AGENCY, OR SUBSTITUTE FOR PROFESSIONAL EMERGENCY SERVICES.

If there is an immediate threat to life, personal safety, health, or property, call 911 or contact the appropriate local emergency service immediately.

Do not delay contacting emergency services while waiting for a response through Tenley.

Tenley does not guarantee that:

  • A report will be received immediately
  • A person will review a report within a particular time
  • A notification will be successfully delivered
  • A property manager, employee, vendor, or emergency service will respond
  • An automated classification will correctly identify the seriousness of an issue
  • Internet, telephone, text-message, or notification services will remain available

Tenley is a communications and workflow tool. Responsibility for responding to maintenance, safety, security, medical, fire, criminal, habitability, or emergency matters remains with the applicable property owner, property management organization, authorized personnel, vendor, user, or public emergency service.

3. Eligibility

You must be at least 13 years old to use the Services.

If you are under the age of majority in your jurisdiction, you may use the Services only with appropriate authorization from a parent, guardian, property management organization, or other legally authorized party.

The Services are intended for authorized users associated with participating properties or customer organizations.

4. Accounts

You agree to provide accurate and current account information.

You are responsible for:

  • Maintaining the confidentiality of your login credentials
  • Activities performed through your account
  • Using only the account assigned to you
  • Promptly notifying Tenley of suspected unauthorized access
  • Keeping your contact information current

You may not share credentials, impersonate another person, access another user’s account, or attempt to bypass role or permission restrictions.

A customer organization may create, manage, modify, suspend, or terminate accounts under its organization.

Tenley may suspend or terminate an account when reasonably necessary to protect the Services, comply with law, respond to customer instructions, prevent harm, or enforce these Terms.

5. Customer Organizations

Your access may be provided through a property owner, property management company, employer, housing operator, or other organization.

That organization may:

  • Control your access
  • Assign your role and permissions
  • Access information submitted through its account
  • Manage properties, units, and users
  • Establish internal procedures
  • Review communications, activity, and reports
  • Suspend or terminate your access
  • Retain information in accordance with its policies and legal obligations

Tenley is not responsible for employment, housing, maintenance, leasing, vendor, or property management decisions made by a customer organization.

Separate agreements between Tenley and a customer organization may also apply. If those agreements conflict with these Terms regarding the organization’s paid subscription, the applicable signed agreement will control for that organization.

6. Acceptable Use

You may use the Services only for lawful, authorized purposes.

You may not:

  • Submit knowingly false emergency or incident reports
  • Threaten, harass, intimidate, abuse, or impersonate another person
  • Upload unlawful, defamatory, fraudulent, obscene, or infringing material
  • Use the Services to discriminate unlawfully
  • Attempt to gain unauthorized access to an account, property, system, or network
  • Test or scan the Services for vulnerabilities without written permission
  • Introduce malware, viruses, harmful code, or automated attacks
  • Interfere with the operation or security of the Services

  • Violate privacy, intellectual-property, housing, employment, communications, recording, or other applicable laws
  • Use the Services in a manner that creates an unreasonable safety or security risk

7. User Content

“User Content” includes information, messages, photographs, videos, audio, documents, inspection records, comments, reports, and other materials submitted through the Services.

You retain any ownership rights you have in your User Content.

You grant Tenley a nonexclusive, worldwide, royalty-free license to host, store, reproduce, transmit, display, format, process, analyze, and otherwise use User Content as reasonably necessary to:

  • Comply with law
  • Enforce agreements

This license lasts for as long as reasonably necessary to provide the Services and meet legitimate legal and operational requirements.

You represent that you have the right and authority to submit User Content and permit its processing as described in these Terms and the Privacy Policy.

8. Photographs, Audio, and Recordings

The Services may allow users to submit photographs, video, audio, or other documentation.

  • Using recording features only for authorized business or property management purposes

Tenley does not authorize users to secretly or unlawfully record another person.

9. Automated and Artificial Intelligence Features

Tenley may use automated systems or artificial intelligence to classify, transcribe, summarize, organize, or route information.

Automated results:

  • May contain errors
  • May misunderstand context
  • May omit important information
  • May incorrectly classify urgency
  • Are provided as an operational aid
  • Are not professional advice
  • Should be reviewed by an authorized person when decisions may affect safety, housing, employment, legal rights, or property

You should not rely exclusively on an automated result when human review or emergency action is appropriate.

Tenley does not guarantee that any automated system will produce accurate, complete, or appropriate results.

10. Communications

By providing a telephone number or email address, you authorize Tenley and the applicable customer organization to send service-related communications concerning:

  • Account administration
  • Maintenance
  • Incidents
  • Property operations
  • Inspections
  • Security
  • Support
  • Notifications
  • Access verification

Message and data rates may apply.

The frequency of messages depends on your use of the Services and activity concerning your associated account or property.

You may manage certain notification settings through your device or account. Disabling notifications may prevent you from receiving important service related information.

Marketing communications, if any, will be handled in accordance with applicable law and available opt-out instructions.

11. Fees and Subscriptions

Organizations purchasing the Services may be subject to subscription fees, per-unit charges, user charges, minimum charges, usage charges, or other fees described in an order form, subscription screen, invoice, or separate agreement.

Unless otherwise stated in writing:

  • Fees are stated in U.S. dollars
  • Fees are exclusive of applicable taxes
  • Subscription charges may recur automatically
  • Customers authorize applicable recurring charges
  • Fees already paid are nonrefundable except where required by law
  • Tenley may suspend paid Services for overdue amounts
  • Customers must maintain accurate billing information

Pricing, renewal, cancellation, unit-count adjustments, user charges, and subscription terms may be governed by a separate written agreement with the customer organization.

Individual tenants or residents will not be charged unless a payment requirement is clearly presented and accepted.

12. Third-Party Services

The Services may depend on or integrate with third parties, including:

  • Mobile operating systems
  • App stores
  • Cloud-hosting providers
  • Telephone and text message providers
  • Email providers
  • Artificial-intelligence providers
  • Mapping services
  • Authentication providers
  • Payment processors
  • Property-management systems

Tenley does not control and is not responsible for the availability, security, terms, or performance of third-party services.

Your use of a third-party service may be governed by that provider’s terms and privacy policy.

13. Intellectual Property

The Services, including software, interfaces, designs, graphics, logos, workflows, databases, text, and Tenley created content, are owned by Tenley or its licensors and are protected by intellectual-property laws.

Except for the limited right to use the Services under these Terms, no rights are transferred to you.

You may not use the Tenley name, trademarks, logos, or branding without written permission.

14. Feedback

If you provide ideas, recommendations, suggestions, or feedback concerning the Services, you grant Tenley the right to use them without restriction or compensation.

This does not transfer ownership of your confidential business information or User Content.

15. Availability and Updates

Tenley may periodically perform maintenance, install updates, change features, or experience interruptions.

The Services may be unavailable because of:

  • Maintenance
  • Internet or telecommunications failures
  • Third-party outages
  • Device limitations
  • Software errors
  • Security incidents
  • Events outside Tenley’s reasonable control

Tenley does not guarantee uninterrupted, error-free, or continuously available service.

You are responsible for maintaining compatible devices, software, connectivity, and notification settings.

16. Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.”

TENLEY DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NONINFRINGEMENT, ACCURACY, AVAILABILITY, SECURITY, AND RELIABILITY.

TENLEY DOES NOT WARRANT THAT:

  • PROPERTY CONDITIONS WILL BE CORRECTED
  • CUSTOMER ORGANIZATIONS WILL TAKE A PARTICULAR ACTION
  • AUTOMATED OUTPUTS WILL BE ACCURATE

  • THE SERVICES WILL SATISFY A PROPERTY OWNER’S OR MANAGER’S LEGAL OBLIGATIONS

Nothing in the Services constitutes legal, housing, engineering, construction, medical, security, fire-safety, or other professional advice.

17. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, TENLEY AND ITS OWNERS, OFFICERS, EMPLOYEES, CONTRACTORS, AFFILIATES, LICENSORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, DATA, BUSINESS, GOODWILL, OR USE, ARISING FROM OR RELATED TO THE SERVICES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, TENLEY’S TOTAL LIABILITY ARISING FROM OR RELATED TO AN INDIVIDUAL USER’S USE OF THE SERVICES WILL NOT EXCEED THE GREATER OF:

  • THE AMOUNT THE INDIVIDUAL USER PERSONALLY PAID TENLEY DURING THE SIX MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM; OR
  • ONE HUNDRED U.S. DOLLARS

For a paying customer organization, liability may instead be governed by its separate written agreement with Tenley.

Nothing in these Terms excludes liability that cannot legally be excluded or limited.

18. Indemnification

To the extent permitted by law, you agree to indemnify and hold harmless Tenley and its owners, officers, employees, contractors, affiliates, licensors, and service providers from claims, losses, liabilities, and expenses, including reasonable attorneys’ fees, arising from:

  • User Content you submit without proper authorization
  • Your fraud, willful misconduct, or misuse of an account

This section does not apply where prohibited by law.

19. Suspension and Termination

You may stop using the Services at any time.

  • You violate these Terms
  • Your account creates a security or legal risk
  • Fees remain unpaid
  • The customer relationship ends
  • The organization instructs Tenley to remove access
  • Continued access could cause harm
  • Required by law

Following termination, provisions that by their nature should survive will remain in effect, including provisions concerning ownership, disclaimers, liability, indemnification, and disputes.

20. Governing Law

These Terms are governed by the laws of the State of California, without regard to conflict-of-law principles.

Unless a separate written agreement provides otherwise, legal proceedings arising from these Terms or the Services will be brought in the state or federal courts located in Sacramento County, California, and the parties consent to the jurisdiction of those courts.

Nothing in this section prevents a party from bringing an eligible matter in small-claims court.

21. Changes to These Terms

Tenley may update these Terms periodically.

We will update the “Last Updated” date when changes are made. We may provide additional notice for material changes when required by law.

Continued use of the Services after updated Terms take effect constitutes acceptance of the updated Terms to the extent permitted by law.
